Terms of Use for the Voicer Online Platform

Effective Date: January 1, 2024

1. Websites and Binding Terms of Service for Online Use

Please carefully read the General Terms of Use for the Voicer online platform ("GTU", "Terms" and/or "Agreement") before using our website (text-to-speech.pl) and/or any of the applications or the mobile application "Voicer - Text To Speech (TTS)" (ai.voice.generator com.mp3tts.voicer) contained therein (and/or any of our online services available through our website or otherwise, each of the aforementioned services, the "Service"), operated by Voicer ("Voicer," "we," "us," or "our"). This Agreement is entered into between Voicer and you, an individual or legal entity accessing and/or using our Service ("You," "Your").

Access to and use of the Service is conditional upon your acceptance and compliance with these GTU. Access to the Service and the information contained in or available through the Service may only be obtained, where appropriate, by individuals authorized by Voicer to use the Service in accordance with these Terms ("Authorized User"). By clicking the "AGREE" button when creating an account, you confirm that you are an Authorized User, accept these GTU, and agree to abide by them.

If you or the legal entity on whose behalf you use this Service do not wish to be bound by these GTU, you are not permitted to use the services. PLEASE READ THESE GTU CAREFULLY BEFORE USING THE SERVICE.

These GTU apply to all visitors, users, and other individuals accessing or wishing to use the Service. The GTU apply to all versions of the Service.

By agreeing to these GTU, you also agree to the terms of our Privacy Policy ("Privacy Policy") by simply accessing or using the Service. If you disagree with any part of the GTU or the Privacy Policy, you are not authorized to access the Service.

2. Communication

By creating an online account in our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving one or all such communications from us at any time by following the unsubscribe link or instructions provided in each email we send.

3. Audio and Other Content

Our Service allows you to publish, link, store, share, and otherwise make available certain information, particularly speech audio recordings you may create ("Content"). You are responsible for the Content you submit or otherwise make available on or through the Service, including its legality, reliability, and appropriateness.

By submitting or posting Content to the Service, you represent and warrant that: (i) the Content belongs to you and/or you have the right to use it and grant us the rights and licenses outlined in these Terms, and (ii) posting your Content on or through the Service does not infringe on privacy, image rights, copyrights, contractual rights, or other rights of individuals or legal entities. We reserve the right to terminate your account if we determine that you are violating copyright or any of the above representations and warranties.

We are not responsible for the Content you or a third party submit or post on the Service. However, by providing Content through the Service, you grant us an unrestricted right and license to use the Content on and through the Service, modify, perform, display (if applicable), reproduce, and distribute it.

Voicer has the right, but not the obligation, to monitor and edit all Content provided by users, including your use.

All paid services involving the provision of a file as a result of processing by the Service grant the user full rights to use the received file, including for commercial purposes, without restrictions.

For clarity, ownership rights to any synthesized speech sounds or audio ("Synthesized Audio") that an Authorized User may create using our Service remain with that Authorized User. The relevant Authorized User reserves the right to use Synthesized Audio for commercial and/or non-commercial purposes, provided all other terms of this Agreement are observed.

Demonstration versions are provided to users free of charge for demonstration purposes. Using synthesized audio generated from the demonstration version for commercial purposes is prohibited.

4. User Accounts

By creating an account with us, you guarantee that you are at least 18 years old and that the information you provide us is always accurate, complete, and up to date. False, incomplete, or outdated information may result in the immediate termination of your account in the Service.

You are responsible for maintaining the confidentiality of your account, including your password and login credentials, including but not limited to limiting access to your computer and/or account. You agree to take responsibility for all actions taken under your account and/or password, regardless of whether the password is associated with our Service or a third-party service. You must immediately notify us (via email or otherwise) of any (actual, potential, or threatened) security breach or unauthorized use of your account.

5. Intellectual Property; Permitted Use and Service Access Restrictions

You agree not to: (a) modify, copy, decompile, disassemble, or otherwise alter our software, technology, and/or Service, or encourage others to do so; (b) transfer, sell, resell, lease, sublicense, or rent the Service to third parties without our express prior consent; (c) violate the license granted herein or the restrictions specified; (d) use the Service to store or transmit harmful code or to transmit content you do not have rights to; (e) interfere with the integrity or performance of the Service or third-party data contained within the Service; (f) attempt to gain unauthorized access to services or associated systems or networks; (g) unlawfully appropriate our software, technology, or other services; or (h) use the Service or allow third parties to use the Service to create competing products or services.

6. Confidentiality

You may have access to information that is confidential to Voicer, including but not limited to the Service and Content, as well as any information related to the Service and Content ("Voicer Confidential Information"). Voicer Confidential Information excludes information that: (a) is publicly known or becomes publicly available without any action or omission by another party; or (b) was lawfully in the possession of another party prior to disclosure and was not obtained directly or indirectly from the disclosing party; or (c) was lawfully disclosed to another party without restrictions on disclosure; or (d) was independently developed by another party. You agree not to disclose Voicer Confidential Information to unauthorized third parties in any form. You agree to take all reasonable steps to ensure that Voicer Confidential Information is not disclosed or distributed by your employees or agents in violation of the provisions of this Agreement.

7. Feedback

You may provide us with feedback, comments, suggestions, questions, ideas, or other information related to the Service or our products, services, technology, techniques, processes, or materials ("Feedback"). We may use such Feedback freely, copy, disclose, license, distribute, and otherwise exploit it in any way without any obligations, payment, licensing fees, or restrictions based on intellectual property or other rights.

8. Links to Other Websites / Third-Party Services; Third-Party Content

Our Service may contain links to third-party websites or services (and/or otherwise interact with them) that are not owned or controlled by Voicer.

Voicer does not control and assumes no responsibility for the content, privacy policies, or practices of third-party websites or services. We do not guarantee the offerings of any of these organizations, individuals, or their websites.

You acknowledge and agree that Voicer shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We recommend that you read the terms of use and privacy policies of all third-party websites or services you visit carefully and only use them if you agree with the terms governing those third-party services. If you access any third-party services directly or indirectly through the Service (collectively referred to as "Linked Sites"), you acknowledge and agree that you are subject to the terms applicable to such Linked Sites. If you fail to comply with the terms of third-party service providers, we may need to restrict your access to third-party content and/or the Service if we cannot separate third-party content from our Service. We are not responsible for any reduced or unavailable access to the Service, and you are not entitled to compensation in connection with the termination of your access to third-party services or our services, as applicable.

9. Service Provision and Payment

The user agrees that they have evaluated the quality and capabilities of the purchased service through a demonstration version or based on their own convictions. The user agrees to join this user agreement by recharging their balance. The user accepts that recharging their balance is final, regardless of whether services corresponding to the balance are ordered, and accepts that no refunds will be issued for partially or fully unused balances. Information about the costs of offered services can be found in the "Pricing" section. Payment is made via partner networks or by bank transfer to the specified account details.

10. Termination

We may terminate or suspend your account and immediately, without prior notice or liability, terminate access to the Service for any reason and without limitation, including but not limited to, your breach of any part of these Terms.

All provisions of these Terms that by their nature should survive termination (e.g., Section 5, Section 6, Section 10, and Section 11 of this Agreement) shall remain in effect, including but not limited to provisions concerning intellectual property, warranty disclaimers, indemnity, and limitations of liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Voicer, its licensors, and licensees, as well as their employees, contractors, agents, officers, and directors, from any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to attorney's fees) arising from third-party claims against Voicer due to: a) your use of the Service and/or access to it by a person using your account and password; b) your violation of these Terms; and/or c) your breach of the terms of Service use or posted content.

12. Limitation of Liability

IN NO EVENT SHALL VOICER OR ANY OF ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND/OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, BUSINESS REPUTATION, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM: (i) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (ii) CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) CONTENT OBTAINED THROUGH THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE MAXIMUM LIABILITY OF VOICER ARISING FROM THIS AGREEMENT, REGARDLESS OF THE LEGAL BASIS, SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT OF PAYMENTS RECEIVED BY VOICER FROM YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM ARISING. IF APPLICABLE LAW DOES NOT PERMIT THE LIMITATION OF LIABILITY AS DESCRIBED IN THIS SECTION, OR THE EXCLUSION OF LIABILITY AS DESCRIBED BELOW, THIS LIMITATION SHALL BE MODIFIED ONLY TO THE EXTENT NECESSARY TO COMPLY WITH APPLICABLE LAW. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT VOICER HAS MADE THE SERVICE AVAILABLE TO YOU IN PART BASED ON THE LIMITATIONS OF LIABILITY DESCRIBED HEREIN.

13. Disclaimer of Warranties

You use the Service at your own risk. The Service is provided "AS IS" and "AS AVAILABLE." The Service is delivered without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or performance.

Voicer, its subsidiaries, affiliates, and their licensors do not guarantee that: a) the Service will be uninterrupted, secure, or available at any specific time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements and/or business objectives.

14. Changes

We reserve the right to modify or replace these Terms at our sole discretion at any time. In such cases, we will update our Terms with the date of the change. If the changes to these Terms are material, we will provide you with appropriate notice before the new Terms take effect so that you may discontinue using the Service if you do not agree to the material changes in these Terms.

By continuing to use or access our Service after the changes to our Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.
